1. Introduction

Welcome to the website of SMO Integrated Solutions, the trading name of Global Modern Innovation & Business Solution SPC (CR 1527080), registered in the Sultanate of Oman and based in Al Ansab, Bawshar, Muscat Governorate.

By using this website or requesting any of our services, you agree to be bound by these Terms & Conditions. Please read them carefully. If you do not agree with any provision, please contact us before using our services.

2. Scope of Services

SMO Integrated Solutions provides a range of technical services, including but not limited to:

• IT infrastructure and network solutions (design, installation, and maintenance of networks, servers, and CCTV systems).
• Cybersecurity and data protection.
• Custom software and systems development (such as property management & inspection systems, ERP systems, booking systems, and construction BOQ systems).
• Cloud computing and data management.
• System management, hosting, and ongoing technical consultation.
• Smart building and Extra-Low Voltage (ELV) systems.

All software systems we develop for clients carry the SMO Integrated standard and methodology, and remain subject to our team's management and support in accordance with the agreement reached with each client.

3. Quotations & Project Engagements

Each project is governed by a separate quotation or agreement (Proposal / Scope of Work) specifying the scope of work, deliverables, timeline, and cost. These Terms & Conditions form a general supplement to any project agreement; in the event of a conflict, the terms of the specific project agreement shall prevail.

The Company reserves the right to adjust the scope of work or cost if the client requests additional changes outside the originally agreed scope (Change Request), subject to mutual agreement.

4. Payments & Payment Gateways

Payments may be processed through approved third-party electronic payment gateways (such as TAP or similar providers). Such payments are also subject to the payment gateway provider's own terms and conditions, and SMO Integrated Solutions is not responsible for any technical issues caused by the service provider.

Invoices are issued in Omani Rial (OMR) unless stated otherwise, with payment terms specified in the project agreement or invoice. Failure to pay on time may result in suspension of services or delays in delivery.

5. Intellectual Property

Unless otherwise agreed in writing, ownership of the source code, designs, and final deliverables of a client's project transfers to the client upon full payment of the project cost.

SMO Integrated Solutions retains ownership of any general-purpose components, tools, or software libraries developed previously or independently, which may be used as part of the client's solution without transferring ownership.

The Company may showcase its work (in general terms and without disclosing confidential data) in its portfolio or on its website for marketing purposes, unless the client requests in writing that it not do so.

6. Confidentiality

Both parties agree to keep confidential any business or technical information or data exchanged during the course of a project, and not to disclose it to any third party without prior written consent, except where required by a competent legal authority.

7. System Management & Maintenance

For clients who receive hosting, management, or ongoing support services, such services are governed by a separate agreement or support plan specifying the scope, duration, and cost of maintenance.

The Company reserves the right to suspend or discontinue hosting/management services in the event of non-payment of outstanding support fees, after providing written notice to the client.

8. Limitation of Liability

Our services are provided using best available practices and reasonable professional care. However, SMO Integrated Solutions shall not be liable for:

• Any indirect or consequential damages, or loss of profits, arising from the use of our systems or services.
• Service interruptions caused by third parties (hosting providers, payment gateways, telecommunications and internet providers).
• Any misuse of the systems or data by the client or its employees.

9. Use of This Website

The content of this website is provided for informational and marketing purposes and does not constitute a binding offer of price or service without a signed agreement. Use of this website in any manner that could harm its security or performance, including unauthorized hacking attempts or automated data scraping, is prohibited.

10. Changes to These Terms

SMO Integrated Solutions reserves the right to amend these Terms & Conditions at any time, and any updates will be posted on this page. Your continued use of the website or our services after such updates are posted constitutes acceptance of those changes.

11. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the Sultanate of Oman. The courts of the Sultanate of Oman shall have jurisdiction over any dispute arising from them, unless an alternative dispute resolution mechanism is agreed upon within a project agreement.
